Terms of Agreement
Products will be made as outlined in the Scope of Work. Variables not described by the customer in the Scope of Work will be chosen by the Kingsley Armoury based upon experience, practicality, budget and feasibility.
Terms of Payment
The project price is based upon a negotiated package for the entire project as outlined in the Scope of Work. This price does not include applicable taxes, duty, or customs tariffs. The Customer is responsible for additional fees levied by government bodies or courier services post shipping from the Armoury. A deposit of 100% is required to commence work for commissions under $500. Commissions over $500 require an initial 50% deposit and final payment is required when the work is complete. In addition to PayPal we accept e-transfers, money orders and MasterCard or Visa. Failure to pay the remaining balance will cancel this agreement and the product will belong to the Kingsley Armoury. The initial deposit will not be refunded to the customer.
Changes to the Scope of Work
Customers may request no more than one (1) adjustment or minor change (i.e./ snaps to magnets, buckle styles, thread colour) to the Scope of Work. These requests must take place before the work to be modified is done. Additional requests, or major changes (i.e./ re-staining, designs change) will result in additional fees. An amendment to the agreement will be done and signed by the customer prior to commencing the work. Modifications to the Scope of Work may impact the Scope of Work and will be reflected in the amended agreement.
Ownership of Patterns and Designs
The Kingsley Armoury retains ownership of all original patterns and designs or parts contained therein, whether preliminary or final. The Kingsley Armoury retains the right to use photos of completed projects and any preliminary designs for the purpose of design competitions, educational purposes, marketing materials and portfolio. Deconstruction and replication of Kingsley Armoury designs are strictly forbidden and may result in legal action.
The customer will assume any shipping or insurance costs related to the project. The Kingsley Armoury shall not incur any liability or penalty for delays in the completion of the project due to actions or negligence of the customer, unusual transportation delays, unforeseen illness, or external forces beyond our control. If such event(s) occur, it shall entitle The Kingsley Armoury to extend the completion/delivery date. The Kingsley Armoury is not responsible for customs or tariffs. It is the customer’s responsibility when importing our products to ensure any and all items they are importing are legal in their country.
Defects / Warranty
Defects must be reported by the customer in writing within a period of five (5) days after delivery. Failure to make such claim within the stated period shall constitute irrevocable acceptance and an admission that they fully comply with terms, conditions and specifications of the products. Claims for workmanship, (specifically seams, rivets, or similar construction) must be submitted in writing and the failure assessed by a craftsman at the Kingsley Armoury. These products may be partially or fully warrantied on a case by case basis after review.
In the event of cancellation, ownership of the original patterns or designs shall be retained by the Kingsley Armoury. The Kingsley Armoury will not reimburse any deposit payments made by the customer. Materials purchased to complete a project by the Kingsley Armoury will not be surrendered to the customer. Customers may not request incomplete projects as the patterns are proprietary to the Kingsley Armoury.
All correspondence and documents provided will be treated as confidential between the customer and the Kingsley Armoury, unless consent has been granted by both parties involved.
Acceptance of Agreement
The prices, specifications and conditions are hereby accepted. The Kingsley Armoury is authorised to execute the project as outlined in this agreement. Payment will be made as outlined in the Terms of Payment . This agreement is not valid until it is signed by the customer and returned to Daniel Kingsley of the Kingsley Armoury.
